Amendments to Memorandum of Incorporation (MOI)
A Memorandum of Incorporation (MOI) is a document that sets out the rights, duties and responsibilities of shareholders, directors and others within a company.
Amendments to the MOI may include:
- changing the main business of the company, if this is included in your MOI
- changing the main and/or auxilliary powers of the company and its office bearers
- Removing, amending or inserting ring fencing conditions
We will submit your notice of amendment of MOI to CIPC and send your certificate of amendment once the process is complete.
Submission of annual returns to CIPC
All companies and close corporations are required by law to lodge their annual returns with CIPC each year – within 30 days of the anniversary date of your company’s incorporation. If this is not done and/or the return fee is not paid, the Registrar may refer the defaulting company or close corporation to be deregistered.
We will submit your annual return on your behalf, and pay over the prescribed fees to CIPC. A certificate of submission will be e-mailed to you within 48 hours.
